Terms of Service

These Terms of Service ("Terms") govern your access to and use of products and services provided by Vector Dispatch LLC, a Florida limited liability company ("Vector Dispatch", "we", "us", "our"). By purchasing, installing, or using any Vector Dispatch software product — including Imprint Flow, Imprint Trader, Imprint Pro, Imprint Elite, Centurion, Jupiter, and any associated mobile applications, web services, or supporting tools (collectively, the "Products") — you ("Customer", "you", "your") agree to these Terms.
1. The Products
Vector Dispatch provides trading-related software tools for users of NinjaTrader 8 and other supported platforms. The Products include indicators, strategies, add-ons, automation engines, and related applications. The Products are software, not investment advice, not financial products, not signal services in the regulatory sense, and not a guarantee of trading outcomes.
2. License
When you purchase a Product, Vector Dispatch grants you a non-transferable, non-sublicensable, revocable license to install and use the Product on the number of machines specified in your tier (typically 1 for Standard tiers, 3 for Pro tiers, 5 for Elite tiers). License keys are bound to specific machine identifiers. You may not:
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive source code from the Products
- Redistribute the Products to third parties (whether for compensation or not)
- Share license keys with third parties
- Use the Products to create derivative products for resale
- Use the Products in any manner that violates applicable law
Each license remains valid for the duration specified at purchase (monthly, annual, or lifetime). Lifetime licenses remain valid for the lifetime of the Product, defined as the period during which Vector Dispatch continues to support the platform the Product runs on.
3. Subscription billing and renewal
Monthly and annual subscriptions auto-renew at the price stated at purchase unless you cancel before the renewal date. You may cancel at any time through the customer portal or by emailing hello@imprint.ltd. Cancellation takes effect at the end of the current billing period; no proration is offered for partial periods.
4. Lifetime tiers
Lifetime tiers (including "Founder's Lifetime", "Founder's Circle Lifetime", and similar) are one-time purchases that grant access for the lifetime of the Product as defined in Section 2. Lifetime tiers are non-refundable. Lifetime tiers are capped at a stated number of seats; once the cap is filled, the offer is permanently removed.
5. Money-back guarantee
All sales are final. Vector Dispatch does not offer refunds or trial periods on any Product, whether purchased as a subscription, a lifetime tier or a bundle. Subscriptions may be cancelled at any time to stop future billing; cancellation does not refund charges already taken. Purchases made while an earlier refund policy was published are governed by the policy in force on the date of that purchase. See the Refund Policy.
6. No trading advice; user responsibility
Vector Dispatch products are software tools. They are not, and may not be construed as: investment advice, trading recommendations, signal services regulated by financial authorities, or guarantees of trading outcomes or profits.
All trading decisions made by the user are the sole responsibility of the user. Trading futures, forex, equities, options, and other instruments involves substantial risk of loss, including the possible loss of all funds invested, and is not suitable for every investor. Past performance, including any historical data displayed in the Products, is not necessarily indicative of future results.
You acknowledge that you trade at your own risk, with your own capital, in accordance with your own judgment. Vector Dispatch does not custody client funds, does not execute trades on behalf of customers, and does not operate as a registered investment adviser, broker-dealer, or commodity trading advisor.
7. Prop firm compliance
Many of our customers trade with proprietary trading firms ("prop firms"). While Vector Dispatch products may include presets or features designed to assist with prop firm rule compliance, the user is solely responsible for ensuring their use of the Products complies with their prop firm's terms. Vector Dispatch does not warrant compliance with any specific prop firm's rules.
8. Intellectual property
All Products, including source code, compiled binaries, documentation, branding, screenshots, marketing materials, and supporting content, are the intellectual property of Vector Dispatch LLC. All rights not expressly granted to you in these Terms are reserved.
9. Disclaimers
THE PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. VECTOR DISPATCH DOES NOT WARRANT THAT THE PRODUCTS WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE FROM HARMFUL COMPONENTS.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VECTOR DISPATCH LLC AND ITS OWNERS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOST PROFITS, LOST DATA, LOST TRADING OPPORTUNITIES, BUSINESS INTERRUPTION, OR OTHER COMMERCIAL LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PRODUCTS.
VECTOR DISPATCH'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE PRODUCTS OR THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO VECTOR DISPATCH IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
11. Governing law
These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict of laws principles. Any dispute arising out of or related to these Terms or the Products shall be resolved exclusively in the state or federal courts located in Florida.
